About the Class:
The course aims to introduce the merger and acquisition (M&A) process from a corporate finance perspective, focusing on how deals are executed from initiation to closing, with particular emphasis on business and synergy valuation. The first session offers a broad overview of the M&A environment and key terminologies. After covering essential M&A definitions, we will take a macroeconomic perspective to explore why M&As occur in waves at the aggregate level. Next, we will shift to a microeconomic view, examining merger motives and deal rationales at the firm level. A key theme in this session is value creation, which is crucial for long-term growth and increasing firm value. The M&A function must align with corporate strategy and maintain a focus on value creation. To conclude, we will review the takeover process, including selling methods and how sellers organize competition to maximize revenue. The session will conclude with insights from a senior M&A practitioner, who will share perspectives on the sell-side M&A process.
