About the Class Session:

This session of Corporate Governance introduces participants to the course and to core concepts in corporate governance, including agency costs, information asymmetries, and the separation of ownership and control in firms. We will discuss the principal-agent problem, with a particular focus on conflicts between managers and shareholders and the costs that arise from diverging interests. In addition, the session covers topics such as managerial entrenchment, debt-related agency problems, and the expropriation of minority shareholders, highlighting how these challenges affect corporate governance and firm performance.

We will also discuss the functioning and effectiveness of potential solutions to these corporate governance challenges, such as incentive alignment and monitoring.
